These Terms of Service ("Terms") govern your use of the website located at mdsobuz.com and any professional SEO consulting, technical audits, semantic content architecture, or Generative Engine Optimization (GEO) advisory services provided by Md Sobuz Hossain ("Consultant", "we", "us"). By accessing this site or engaging our services, you agree to these Terms.

1. Services Overview & Acceptance

Md Sobuz Hossain provides independent, high-level organic search optimization consulting, including:

• Technical SEO Audits: In-depth crawl inspections, indexing diagnostics, server log evaluations, Core Web Vitals remediation, and canonicalization fixes.
• Semantic SEO & Content Strategy: Topical authority mapping, entity keyword modeling, internal link architecture, and search intent alignment.
• Generative Engine Optimization (GEO & AEO): Structuring direct answer capsules, entity schema, and information gain frameworks for visibility in Google AI Overviews, Perplexity, and ChatGPT Search.
• Monthly Growth Retainers: Ongoing strategic execution, performance monitoring, and iterative search advisory.

By submitting an inquiry, accepting a formal proposal, or issuing payment for any service, you confirm that you have read, understood, and agreed to be bound by these Terms.

2. Engagement Scope & Deliverables

The specific scope, milestones, timelines, and deliverables for each engagement are defined in a written proposal, Statement of Work (SOW), or formal invoice mutually agreed upon prior to project kickoff.

• Client Collaboration: Effective SEO requires timely technical access (e.g. Google Search Console, Google Analytics, CMS, or server logs where required) and prompt feedback on proposed strategies. Delays in providing necessary approvals or technical assets may adjust delivery timelines accordingly.
• Scope Revisions: Any additional tasks or advisory requests outside the agreed Statement of Work will be quoted separately or scheduled as part of a subsequent consulting sprint.

3. Intellectual Property & Work Product

We believe in complete transparency and full ownership for our clients:

• Client Work Product: Upon receipt of full payment, all customized client deliverables—including audit spreadsheets, site architecture blueprints, custom JSON-LD schema markup, and editorial briefs—become the exclusive intellectual property of the client.
• Proprietary Frameworks: The Consultant retains all rights to pre-existing audit templates, proprietary software workflows, internal automation scripts, and generalized methodology frameworks used during the engagement.
• Case Studies & Attribution: We strictly protect client confidentiality. We do not publish client names, unmasked URLs, or proprietary commercial data without prior written authorization. Anonymized or aggregate performance case studies (such as percentage traffic growth and methodology overviews) may be published for portfolio demonstration unless restricted by an explicit Non-Disclosure Agreement (NDA).

4. Payment, Fees & Retainer Terms

All pricing and engagement structures are transparent and clearly outlined before work commences:

• Fixed-Price Audits & Sprints: Billed either 100% upfront or on a 50% deposit / 50% completion milestone, as specified in your proposal.
• Monthly Advisory Retainers: Retainers are billed monthly in advance on the 1st of each service period. Work commences upon receipt of payment for that billing cycle.
• Payment Channels: Invoices are payable via international bank transfer, secure wire, or verified payment platforms agreed upon prior to contracting. Clients are responsible for any applicable local taxes or intermediary wire transfer fees.

5. Limitation of Liability & Disclaimers

We take pride in our 100% white-hat, sustainable search methodologies, adhering strictly to Google Search Essentials and Webmaster Guidelines. However, search engines and AI models operate dynamically:

• Algorithm Volatility Disclaimer: Search engines (including Google and Bing) and generative AI engines (ChatGPT, Perplexity, Gemini) continuously update ranking algorithms, neural weights, and indexing systems. While we apply empirical, industry-leading best practices, no legitimate SEO professional can guarantee specific #1 rankings, guaranteed citation counts, or exact revenue metrics.
• Financial Liability Cap: To the maximum extent permitted by applicable law, in no event shall Md Sobuz Hossain be liable for any indirect, special, incidental, or consequential damages (including loss of traffic, data, revenue, or business reputation). The Consultant's total aggregate liability arising out of or related to any engagement shall not exceed the total fees actually paid by the client under the specific contract during the three (3) months preceding the incident.

6. Termination & Suspension

We work to maintain long-term, mutually beneficial partnerships, but retain clear exit provisions for both parties:

• Monthly Retainer Cancellation: Either party may cancel an ongoing monthly retainer by providing written notice at least thirty (30) days prior to the start of the next billing cycle.
• Immediate Termination for Cause: Either party may terminate an agreement immediately in the event of material breach of these Terms, non-payment, or failure to remedy a dispute within fourteen (14) days of written notice.
• Deliverable Handover: Upon termination, all completed deliverables and audit documentation for which payment has been received will be immediately handed over to the client.

7. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with our consulting engagements shall be governed by and construed in accordance with applicable laws.

In the event of any disagreement or dispute, both parties commit to engaging in good-faith informal negotiations and commercial mediation for a period of at least thirty (30) days prior to initiating any formal legal proceedings.
